Terms of Service

Welcome to xchngbl! These Terms of Service (“Terms”) govern your use of the xchngbl website and platform (collectively, the “Service”). By accessing or using xchngbl, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Definitions

  • “xchngbl,” “we,” “us,” or “our” means XCHNGBL LLC, a California limited liability company.
  • “Service” means the xchngbl website, platform, and all related services.
  • “User,” “you,” or “your” means any person who accesses or uses the Service.
  • “Content” means text, images, photos, descriptions, messages, and other materials posted on the Service.
  • “Listing” means an item listed by a user for potential trading.
  • “Trade” means an exchange of items between users facilitated through the Service, including trade requests sent between users.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years old to use xchngbl. By creating an account, you confirm that you are at least 18 years of age.

2.2 Account Creation

To use xchngbl, you must:

  • Create an account using Sign in with Google or Sign in with Apple
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activity under your account

2.3 One Account Per Person

You may only create and maintain one account. Creating multiple accounts to evade restrictions is prohibited and may result in termination of all accounts.

3. How xchngbl Works

3.1 Platform Purpose

xchngbl is a peer-to-peer marketplace for local item trading. We connect users who want to trade items, facilitate trades and communication, match users with mutual interests, and provide a platform for coordination.

3.2 We Are Not a Party to Trades

IMPORTANT: xchngbl is a platform only. We:

  • Do NOT buy, sell, or trade items
  • Do NOT participate in your trades
  • Are NOT responsible for items exchanged
  • Do NOT guarantee item quality, condition, or authenticity
  • Do NOT mediate disputes between users

You trade directly with other users at your own risk.

3.3 No Money Transactions

xchngbl is designed for trading items, not buying/selling. No monetary transactions, payment processing, or escrow services are provided through the platform.

4. User Conduct

4.1 You Agree To

  • Provide accurate information in your listings and profile
  • Own the items you list for trade
  • Describe items honestly including flaws and condition
  • Use real, recent photos of the actual items
  • Honor accepted trades and coordinate in good faith
  • Meet in safe, public locations when exchanging items
  • Treat other users with respect and courtesy
  • Follow all applicable laws in your jurisdiction

4.2 You May NOT

  • Misrepresent items or engage in fraudulent activity
  • Harass, threaten, or abuse other users
  • Scrape, data mine, or interfere with platform operations
  • Use xchngbl for commercial resale or advertising
  • Create multiple accounts
  • Post illegal, dangerous, or prohibited items
  • Violate intellectual property rights

4.3 Blocking and Reporting

You may report a listing, user, or message to us for review, and you may block other users. Blocking another user prevents the two of you from interacting: you stop seeing each other's listings and profiles, any pending trades between you are cancelled, and you can no longer message each other.

Zero Tolerance for Objectionable Content and Abusive Users

XCHNGBL has zero tolerance for objectionable content and abusive behavior. By creating an account and using XCHNGBL, you agree to these Terms, and you agree not to post, share, or transmit objectionable content or to behave abusively toward other users.

Objectionable content and abusive behavior include, without limitation: harassment, threats, bullying, or intimidation; hate speech or discriminatory content; sexually explicit or pornographic material; content promoting violence, self-harm, or illegal activity; and sharing another person's private information without consent.

We act on reports of objectionable content and abusive users within 24 hours. When we identify objectionable content or abusive behavior, we will remove the offending content and terminate the offending user's account. Serious violations result in immediate and permanent removal from the platform without prior warning.

You can report objectionable content or abusive users at any time using the Report feature on any listing, profile, or message, and you can block any user at any time.

5. Prohibited Items

You may NOT list the following items on xchngbl:

  • Illegal items: Stolen property, counterfeit goods, illegal drugs or paraphernalia
  • Dangerous items: Firearms, weapons, explosives, hazardous materials
  • Regulated items: Prescription medications, alcohol, tobacco, live animals (check local laws)
  • Adult content: Sexually explicit materials or services
  • Financial instruments: Securities, cryptocurrency, gift cards, lottery tickets
  • Other: Recalled products, hate group materials, items promoting violence

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you post. By posting content, you grant xchngbl a non-exclusive, worldwide, royalty-free license to display, store, and distribute your content for the purpose of operating the platform. You can revoke this license by deleting the content or your account.

6.2 Our Content

The xchngbl name, logo, design, and platform are our property, protected by copyright, trademark, and other laws. You may not copy, modify, or use without permission.

6.3 Copyright Infringement (DMCA)

If you believe content on xchngbl infringes your copyright, email us at support@xchngbl.com with a description of the copyrighted work, the URL of the infringing content, and your contact information.

7. Platform Liability and Disclaimers

7.1 Disclaimer of Warranties

xchngbl is provided “AS IS” and “AS AVAILABLE.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability.

7.2 Limitation of Liability

To the maximum extent permitted by law, xchngbl and its owners, employees, and agents are not liable for any direct, indirect, consequential, incidental, punitive, or special damages arising from your use of the Service, including items not as described, scams, personal injury during meetups, property damage, or platform downtime.

Our total liability is limited to the amount you paid to xchngbl in the past 12 months (currently $0, as the platform is free).

7.3 Indemnification

You agree to indemnify and hold harmless xchngbl and its affiliates from claims arising from your use of the Service, your violation of these Terms, your violation of others' rights, content you post, and trades you participate in.

8. Dispute Resolution

8.1 Disputes Between Users

Try to resolve disputes directly with the other user first. If unresolved, email support@xchngbl.com for guidance. For fraud, theft, or safety concerns, contact local authorities.

8.2 Disputes with xchngbl

Before pursuing legal action, contact us at support@xchngbl.com. If informal resolution fails, you agree to binding individual arbitration under AAA rules, governed by California law. You waive the right to participate in class action lawsuits.

8.3 Jurisdiction

For matters not subject to arbitration, governing law is California law. Exclusive venue is state or federal courts in El Dorado County, California.

9. Account Termination

You may delete your account at any time from your profile settings. We may suspend or terminate your account for violations of these Terms, safety concerns, legal requirements, or any reason at our discretion.

Upon termination, your access is revoked, active listings are removed, and pending trades are cancelled. If you delete your own account, your profile is deleted and your remaining records (such as past trades and messages) are anonymized; if we terminate an account, the profile is anonymized. Data is handled per our Privacy Policy.

10. Changes to Service and Terms

We may update these Terms and modify the Service at any time. Material changes will be communicated via email and prominent website notice 30 days in advance. Continued use of xchngbl after changes constitutes acceptance of the updated Terms.

If you don't agree, stop using the Service and delete your account.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using xchngbl, you consent to our Privacy Policy and the collection of data as described therein.

12. Third-Party Services

xchngbl relies on third-party services to operate, including Google and Apple (sign-in; Apple also for push notifications), Supabase (database, authentication, and storage), Vercel (hosting and analytics), Capgo (mobile app delivery and updates), Resend (email), Twilio (phone verification, when enabled), Anthropic (optional AI listing assistance), PostHog (product analytics), and Sentry (error monitoring). These services have their own terms and privacy policies, and we are not responsible for their practices. See our Privacy Policy for details on what data each service receives.
